Welcome to AgroDrone. These Terms of Service ("Terms") govern your access to and use of agrodrones-usa.com (the "Site") and any products, repairs, or services we offer (collectively, the "Services"). By using the Site or Services, you agree to these Terms. If you do not agree, please do not use the Site.

Plain summary. Use the Site fairly, follow the law, and operate any drone you buy from us safely and in compliance with FAA regulations. We provide the Site "as is", with disclaimers and a liability cap. Disputes are settled by individual arbitration in Iowa.

1. Eligibility

You must be at least 18 years old (or the age of legal majority in your jurisdiction) and able to form a binding contract to use the Services. By using the Site, you represent that you meet these requirements.

2. Accounts

Some Services (such as the admin panel) require an account. You are responsible for keeping your credentials confidential and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

3. Orders, Quotes, and Pricing

Listings, photos, and prices on the Site are provided for information and are not a binding offer to sell. Quotes provided by AgroDrone are valid for 14 days unless otherwise stated. We reserve the right to:

  • Refuse or cancel any order at our discretion (e.g., suspected fraud, pricing errors, stock issues)
  • Correct errors in pricing, descriptions, or availability at any time
  • Limit quantities sold to any one customer

Final pricing, payment, shipping, and warranty terms will be set out in your written sales agreement or invoice.

4. Repairs and Sell-Your-Drone Service

When you submit a repair request or sell-your-drone request, you confirm that:

  • You are the lawful owner of the equipment, or are authorized to act on the owner's behalf
  • The information you provide (model, condition, history) is accurate to the best of your knowledge
  • You will ship the item at your own risk unless we agree in writing to cover transit insurance

Repair quotes and resale offers are estimates based on the information provided. Final price may change after physical inspection. Items left unclaimed for more than 90 days after notice may be sold or disposed of to recover costs.

5. Drone Operation and Safety

Important safety notice. Operating an agricultural drone in the United States is regulated by the Federal Aviation Administration (FAA). You are solely responsible for complying with all applicable rules including, but not limited to, 14 CFR Part 107, Part 137 (agricultural aircraft operations), local airspace restrictions, EPA pesticide application rules, and state-specific licensing.

AgroDrone does not assume liability for misuse, off-label spraying, unsafe operation, or unlicensed flight. Always:

  • Hold a valid FAA Remote Pilot Certificate (Part 107) and any required Part 137 authorizations before commercial operation
  • Maintain visual line of sight unless you have a waiver
  • Follow chemical-handling, mixing, and PPE guidelines for any spray application
  • Inspect equipment before each flight and conduct manufacturer-recommended maintenance

6. Acceptable Use

When using the Site, you agree not to:

  • Submit false, misleading, or fraudulent information
  • Attempt to gain unauthorized access to the Site, the admin panel, or our infrastructure
  • Probe, scan, or test the vulnerability of any system without permission
  • Interfere with or disrupt the Site (e.g., DDoS, scraping at abusive rates, automated form spam)
  • Upload viruses, malware, or any other malicious code
  • Reverse-engineer, copy, or resell any proprietary content from the Site
  • Use the Site in violation of any applicable law or regulation

7. Intellectual Property

The Site, including its text, graphics, logos, images, and software, is the property of AgroDrone Inc. or its licensors and is protected by U.S. and international copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Site for personal or internal business purposes. Any other use requires prior written permission.

Third-party trademarks (DJI, XAG, Hylio, EAVision, etc.) are the property of their respective owners and are used for identification purposes only.

8. Warranties

Manufacturer warranties (where available) apply to new equipment and are passed through to you under their original terms. AgroDrone may offer additional service plans, repair guarantees, or used-equipment warranties — these will be set out in writing at the time of sale. Used and pre-owned equipment is otherwise sold "as is" unless explicitly stated.

9. Disclaimers

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGRODRONE INC., ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR CROPS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN DAMAGES, SO PORTIONS OF THIS SECTION MAY NOT APPLY TO YOU.

11. Indemnification

You agree to defend, indemnify, and hold harmless AgroDrone Inc., its officers, employees, and affiliates from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of: (a) your use or misuse of the Site or Services; (b) your violation of these Terms; (c) your violation of any law or third-party right; or (d) your operation of any drone or equipment, regardless of where purchased.

12. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. You may stop using the Site at any time.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Iowa, USA, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Polk County, Iowa. You and AgroDrone waive any right to a jury trial and to participate in a class or representative action. This clause does not prevent either party from seeking injunctive relief in a court of competent jurisdiction for intellectual-property infringement or other appropriate matters.

14. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent version. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms. Material changes will be highlighted on the Site.

15. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right is not a waiver of that right. These Terms, together with our Privacy Policy and any written sales agreement, constitute the entire agreement between you and AgroDrone with respect to the Site and supersede any prior agreements.
